This agreement governs the relationship between developers or organisations wishing to publish their own AI model in the Onysoft AI Gateway catalog (the Publisher) and Onysoft Veri Merkezi A.Ş. You build the model; the API layer, billing, documentation and customer relationship sit with us.
descriptionParties and Scope
This agreement is between Onysoft Veri Merkezi A.Ş. ("Onysoft", the "Platform") and the natural or legal person whose application is accepted (the "Publisher").
It covers publishing the Publisher's model in the Platform catalog, offering it to end users over the API, and sharing the resulting revenue.
Acceptance is at Onysoft's discretion. Applications that fail the technical evaluation or do not meet the declarations in this agreement may be rejected.
verified_userPublisher Declarations and Undertakings
At the time of application and throughout the term, the Publisher declares and undertakes that:
- It holds the right to publish the model commercially; the model is its own work or the base model licence permits commercial use and sublicensing.
- The training data does not unlawfully include third-party copyright, trade secrets or personal data.
- The technical details declared (parameter count, context window, throughput, language support) are accurate and not misleading.
- The model is not designed to produce content contrary to applicable law.
- It will notify Onysoft in advance of any material change (version, weights, behaviour, price).
warning If these declarations prove untrue the model is removed immediately and the Publisher is liable for any resulting loss.
dnsHosting Options
A model can be listed in one of two ways. Which one applies is stated in the application and confirmed in writing.
A) On the Publisher's own server
The Publisher runs the model on its own infrastructure and provides Onysoft with a reachable endpoint. Server cost, scaling, updates and continuity belong to the Publisher. An OpenAI-compatible endpoint is preferred; otherwise adaptation time is planned together.
B) On Onysoft infrastructure
Onysoft hosts the model on its own servers and GPUs. Hosting cost is then offset against the revenue share or invoiced separately; terms are set in writing. Onysoft may decline to host for capacity or cost reasons.
monitor_heartService Continuity
If the Publisher self-hosts, it is responsible for the uptime it committed to. While the endpoint is unreachable the model may be temporarily deactivated in the catalog.
On repeated outages or unacceptable latency, Onysoft may remove the model with prior notice.
Where Onysoft hosts, continuity commitments follow the Platform's general service terms.
paymentsPricing and Revenue Share
The catalog price is set in writing considering both the Publisher's expectation and the Platform's cost structure. Onysoft reserves the right to set the end-user price.
The revenue share rate and payment period are agreed separately in writing on acceptance. Payments are made against the Publisher's invoice.
Calculation is based on token consumption in the Platform's usage records. The Publisher may request a breakdown.
Failed requests and calls that did not complete due to technical error are excluded from revenue.
shieldContent Safety and Usage Limits
The Publisher declares the model carries reasonable content-safety measures. If a safety issue is found through user complaints or our own review, the Platform may suspend the model.
The Platform's general prohibited-use rules apply to this model as well.
privacy_tipData Protection
The Publisher accurately declares whether the model or its infrastructure retains end-user prompts. This is disclosed to end users on the catalog page.
Where the Publisher self-hosts, it acts as data controller/processor for data reaching it and must comply with applicable law.
The parties will sign a separate data processing agreement where required.
gavelLiability
The Publisher is responsible for third-party claims arising from intellectual property, training data or model output, and indemnifies Onysoft against them.
Onysoft's liability is limited to the revenue share generated by that model in the preceding three months.
Neither party is liable for indirect damages, loss of profit or loss of data.
blockSuspension and Removal
Onysoft may remove the model with notice, or immediately in urgent cases, where:
- Declarations turn out to be untrue
- There is a licence breach or third-party claim
- There are repeated outages or unacceptable performance
- Harmful content or a safety issue is produced
- The Publisher breaches this agreement
Removal does not cancel revenue share already earned.
event_repeatTerm and Termination
The agreement takes effect when the model goes live and continues until terminated by either party.
Either party may terminate on thirty (30) days written notice. On termination the model is removed from the catalog and earned payments are settled.
After termination Onysoft deletes model weights and technical material within a reasonable period, save for statutory retention duties.
lockConfidentiality
The parties will not share trade-secret information learned through this relationship (model architecture, weights, pricing structure, usage volumes) with third parties.
balanceChanges and Disputes
Onysoft may update this agreement. The version in force is published on this page; material changes are notified to the Publisher by email.
The Courts and Execution Offices of İzmir have jurisdiction. Turkish law applies.
